All,
as Malcolm suggested i am specifying my problems..
in VB application i have sevral .VB files and each file is starting with module.. then couple of function...
now in C# i have to write some classes and then some common function... but i want to know what should be the criteria of the class i need to impose...
to get the classes...

So these classes are already in .NET? Why do you want to convert them to C#? The whole point about using .NET is that you can be language agnostic, so as long as the code conforms to the CLR and CLT guidelines, it should be usable from ANY .NET language.

No there are no classes now the code is completely in visual basic.. now i have to decide what are the classes need to be there.. .

I'm confused. First you have files with the .VB extension (these are the .NET version of VB files - in pre .NET, VB files ended in CLS or FRM), and now you say they aren't .NET. Which is it?

sorry for confusion... yeah it some VB file completely in visualbasic.. No OOPs
write now i am migrating all these thing into c#....
