Compatibility of excel add-in 2003 with .net framework 4.0

I have created an Excel Add-In for office 2003/2007 in Visual studio 2008 with .net framework 3.5. I have used dlls of some other project in my excel add-in project.

Due to some reason i have to update dlls in .net framework 4.0.

So i need to create Excel Add-In for office 2003/2007 in Visual studio 2010 with .net framework 4.0.

Will it be compatible for office 2003?

Please guid.
